1. Introduction

Welcome to Ascendance Apex. By engaging our services, you agree to comply with and be bound by the following terms and conditions. Please review them carefully.

2. Definitions

• “Company” refers to Ascendance Apex.
• “Client” refers to any individual, firm, company, or entity engaging the services of the Company.
• “Services” encompass all digital marketing offerings provided by the Company, including but not limited to SEO, PPC, content creation, and web development.

3. Services

The Company agrees to provide the Services as outlined in the agreed proposal or contract. Any additional services will require a separate agreement and may incur additional charges.

4. Client Responsibilities

The Client agrees to:

• Provide all necessary access, information, and materials required for the Company to perform the Services.
• Ensure that all content and materials supplied do not infringe on any third-party rights or violate any laws.
• Promptly respond to communications and requests from the Company to facilitate timely completion of projects.

5. Fees and Payment

• Fees for Services are outlined in the proposal or contract.
• Payments are setup and automatically paid through our website on a monthly basis for all packages. Website project payments are either one-time or split into 2 payments (first half up-front, second half upon completion) and are also made through our website.
• Late payments may incur interest charges of 1.5% per month.

6. Intellectual Property

• All materials created by the Company during the provision of Services remain the property of the Company until full payment is received.
• Upon full payment, ownership of the final deliverables transfers to the Client.
• The Company reserves the right to use any work produced for promotional purposes unless otherwise agreed in writing.

7. Confidentiality

Both parties agree to keep confidential any proprietary information received from the other party during the course of the engagement and not to disclose it to any third party without prior written consent.

8. Termination

Either party may terminate the agreement by providing 30 days written notice prior to or once a contract or agreement has been fulfilled. Otherwise, the services continue on a month-to-month basis. Upon termination, the Client agrees to pay for all Services rendered up to the termination date.

9. Limitation of Liability

The Company shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the Services provided. The Company’s total liability shall not exceed the fees paid by the Client for the specific Service giving rise to the claim.

10. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of San Diego, California, and any disputes shall be subject to the exclusive jurisdiction of the courts of San Diego, California.

11. Changes to Terms

The Company reserves the right to modify these terms and conditions at any time. Clients will be notified of significant changes, and continued use of our Services constitutes acceptance of the updated terms.
